MiuTaxi 秒的 · 司機夥伴使用條款

1.1「的士租收」／「平台」指由的士租收管理有限公司（「的士租收」）營運的流動應用程式及網上平台，供司機夥伴接單提供服務及乘客預約行程。"Miutaxi" / "Platform" means the mobile application and online platform operated by Miutaxi Limited ("Miutaxi") for Driver Partners to accept trip requests and for passengers to book trips.

1.2「司機夥伴 App」指讓司機夥伴使用平台尋找、接受和滿足乘客交通服務要求嘅流動 App（可能經的士租收不時酌情更新或修改）。"Driver Partner App" means the mobile app that lets Driver Partners use the Miutaxi service to find, accept and fulfil passenger transport requests (as updated or modified by Miutaxi from time to time).

1.3「登入 ID」指的士租收分配給你嘅身份證明文件和密碼，讓你使用和存取司機夥伴 App。"Login ID" means the credentials and password allocated to you by Miutaxi enabling you to access and use the Driver Partner App.

1.5「乘客 App」指讓乘客預約、支付及管理的士行程嘅流動應用程式。"Passenger App" means the mobile application for passengers to book, pay for and manage taxi trips.

1.6「行程」指經平台廣播、由你接受並提供嘅的士載客服務。"Trip" means a taxi carriage service broadcast via the Platform, accepted and provided by you.

1.7「咪錶車費」指行程期間的士咪錶所顯示、根據香港法例第374E章《道路交通（公共服務車輛）規例》訂明嘅收費。"Metered Fare" means the fare displayed on the taxi meter during a Trip, charged under the Road Traffic (Public Service Vehicles) Regulations (Cap. 374E).

1.10「通行費」指任何適用的道路、橋樑、渡輪、隧道和機場收費及費用，包括的士租收根據現有資料合理釐定嘅類似收費；對於咪錶行程，通行費指符合香港的士規例嘅相關收費。"Tolls" means any applicable road, bridge, ferry, tunnel and airport charges and fees, including similar charges reasonably determined by Miutaxi based on available data; for metered trips, Tolls means charges consistent with Hong Kong taxi regulations.

1.11「服務地區」指司機夥伴 App 允許你接收行程預約嘅地區，現時為香港特別行政區。"Service Area" means the areas where the Driver Partner App allows you to receive trip requests, currently the Hong Kong SAR.

2. 平台角色 Nature of the Platform

2.1的士租收係一個預約及資訊平台，透過司機夥伴 App 同乘客 App 撮合乘客同獨立司機夥伴。的士租收唔係承運人，亦唔擁有或營運任何的士；的士租收唔會亦唔被視為僱用任何司機夥伴。Miutaxi is a booking and information platform matching Passengers with independent Driver Partners via the Driver Partner App and Passenger App. Miutaxi is NOT a carrier, does not own or operate any taxi, and does not — and is not deemed to — employ any Driver Partner.

2.2 獨立承運人你係獨立承運人，行程嘅運輸合約係你同乘客之間直接訂立。你對你嘅車輛、駕駛、保險、稅務及燃油等成本自負全責。Independent Carrier: You are an independent carrier; the contract of carriage is made directly between you and the Passenger. You are solely responsible for your vehicle, driving, insurance, tax and fuel costs.

3. 賬戶及登記 Accounts and Registration

3.1 資格登記司機夥伴賬戶，你必須：(a)持有有效香港的士駕駛執照；(b)持有或獲授權駕駛持有效牌照嘅的士；(c)年滿 21 歲。Eligibility: To register, you must (a) hold a valid Hong Kong taxi driving licence; (b) own or be authorised to drive a licensed taxi; (c) be at least 21 years old.

3.2 賬戶審核通過後，的士租收會向你發出登入 ID。你同意：(a)提供真實、準確、完整嘅資料（包括執照、車牌、保險文件）；(b)文件過期前更新；(c)妥善保管登入 ID，唔可以借出或轉讓；(d)賬戶下嘅所有活動由你負責。Account: Upon approval Miutaxi issues you a Login ID. You agree to (a) provide true, accurate and complete information (including licences, vehicle registration, insurance); (b) update documents before expiry; (c) keep your Login ID secure and never lend or transfer it; (d) be responsible for all activity under your Account.

3.3 審核權的士租收有絕對酌情權決定是否批准任何登記申請，毋須提供理由。Vetting: Miutaxi has absolute discretion to approve or reject any registration application without giving reasons.

4. 使用司機夥伴 App Use of the Driver Partner App

4.1 廣播派單乘客行程請求會廣播俾上車點附近開工中嘅司機夥伴。你完全自主決定係咪接單——平台唔會強制派單，接單率唔會被用作懲罰指標。你連續 30 秒冇反應，行程會擴大半徑廣播俾其他司機。Broadcast Dispatch: Passenger requests are broadcast to Driver Partners on duty near the pickup point. Acceptance is entirely voluntary — the Platform does not force dispatch and acceptance rate is not used punitively. If you do not respond within 30 seconds, the request is re-broadcast to other drivers with an expanded radius.

4.2 安裝及裝置你獲准喺你嘅流動裝置上安裝司機夥伴 App，純粹用於提供交通服務。你須保持 App 更新、網絡連線正常，以及裝置電力充足。Installation and Device: You are permitted to install the Driver Partner App on your mobile device solely for providing transport services. You must keep the App updated, maintain connectivity and sufficient battery.

4.3 上線／下線你可以隨時自由上線（開工）或下線（收工），毋須通知平台。上線即表示你同意接收行程廣播。Online/Offline: You may freely go online or offline at any time without notifying the Platform. Being online means you consent to receive trip broadcasts.

4.4 接單後責任你接單後應：(a)合理迅速前往上車點；(b)透過車內訊息同乘客聯絡（毋須電話）；(c)如無法完成行程，盡早取消並通知平台。你接單後 5 分鐘內冇合理理由取消，可能影響你嘅賬戶狀態。Post-Acceptance: After accepting you should (a) proceed to the pickup point promptly; (b) contact the Passenger via in-trip chat (no phone needed); (c) cancel early and notify the Platform if you cannot complete the Trip. Cancelling within 5 minutes of acceptance without reasonable grounds may affect your account standing.

4.5 禁止行為你承諾唔會：(a)利用外掛、機械人或任何自動接單工具；(b)同其他司機串通分配行程；(c)刷評分或以任何方式操縱平台數據；(d)向乘客收取咪錶車費、議定附加貼士及通行費以外嘅任何費用；(e)騷擾乘客或利用車內訊息招攬其他業務。Prohibited Conduct: You must not (a) use plug-ins, bots or any auto-accept tools; (b) collude with other drivers to allocate trips; (c) manipulate ratings or Platform data; (d) charge Passengers anything beyond the Metered Fare, agreed Additional Tip and Tolls; (e) harass Passengers or solicit other business via in-trip chat.

5. 車費、貼士及平台服務費 Fares, Tips and Platform Service Fee

5.1 咪錶車費為準所有行程一律以的士咪錶收費。App 顯示嘅預估車費只供參考。Metered Fare Prevails: All Trips are charged on the taxi meter. Estimated fares in the App are for reference only.

5.2 通行費行程涉及嘅隧道費、橋樑費等通行費由乘客承擔，你須按實際收取並申報。Tolls: Tolls are borne by the Passenger; you must charge and report them at actual cost.

5.3 電子付款乘客選用電子付款嘅行程，車費會經平台結算俾你（扣除平台服務費後），結算週期載於 App 內說明。E-Payment: For e-payment Trips, fares are settled to you via the Platform (net of the Platform Service Fee); settlement cycles are described in the App.

5.4 附加貼士乘客可自願於咪錶車費外附加貼士（「附加貼士」），全數給予司機，平台唔抽佣。你接單時鎖定嘅附加貼士，行程完成後全數屬於你。乘客接單前取消附加貼士，唔構成任何投訴理由。Additional Tips: Passengers may voluntarily add tips on top of the Metered Fare ("Additional Tips"), paid ENTIRELY to drivers with zero Platform commission. Tips locked at acceptance belong fully to you upon trip completion. A Passenger reducing a tip before acceptance is not grounds for complaint.

5.5 現金款項現金行程嘅咪錶車費＋附加貼士＋通行費（合稱「現金款項」）由你向乘客直接收取，平台不會就現金款項向你收佣或結算。Cash Amounts: For cash Trips, the Metered Fare + Additional Tips + Tolls (the "Cash Amounts") are collected by you directly from the Passenger; the Platform neither commissions nor settles Cash Amounts.

5.6 平台服務費的士租收就每宗電子付款行程向你收取平台服務費，現行費率載於 App 內「服務費說明」頁面；費率調整會提前 30 日喺 App 內公佈。現金行程而家不收平台服務費。Platform Service Fee: Miutaxi charges a Platform Service Fee on each e-payment Trip; the current rate is shown in the App's "Fee Schedule" page, with 30 days' notice of any change. Cash Trips currently carry no Platform Service Fee.

6. 保險、執照及法規 Compliance Insurance, Licences and Regulations

6.1你必須時刻持有：(a)有效香港的士駕駛執照；(b)有效嘅的車牌照；(c)法定第三者保險及（如適用）乘客責任保險。任何文件失效，你必須即刻下線並通知平台。You must at all times hold: (a) a valid Hong Kong taxi driving licence; (b) a valid taxi vehicle licence; (c) statutory third-party insurance and passenger liability insurance where applicable. If any document lapses you must go offline immediately and notify the Platform.

6.2你須遵守《道路交通條例》（第374章）及其附屬法例、運輸署嘅的士規定，以及所有適用法律。違法行為可導致賬戶即時終止。You must comply with the Road Traffic Ordinance (Cap. 374) and subsidiary legislation, Transport Department taxi requirements and all applicable laws. Illegal conduct may result in immediate termination.

7. 行為及安全 Conduct and Safety

7.1你同意：(a)安全駕駛、遵守交通規則；(b)保持車廂清潔衛生；(c)禮貌對待乘客；(d)唔會因為乘客嘅目的地而拒載（香港法例禁止拒載）；(e)唔會喺行程期間吸煙。You agree to: (a) drive safely and obey traffic rules; (b) keep the vehicle clean; (c) treat Passengers courteously; (d) NOT refuse carriage based on destination (refusal is illegal in Hong Kong); (e) not smoke during Trips.

7.2 評分乘客會為你評分。持續低分、投訴成立或安全問題可導致暫停接單或終止賬戶。你都可以為乘客評分。Ratings: Passengers rate you. Persistently low ratings, upheld complaints or safety issues may lead to suspension or termination. You may also rate Passengers.

7.3 意外及事故行程中發生意外，你須：(a)確保所有人安全；(b)按法律要求報警及交換資料；(c)24 小時內向平台報告。Accidents: In the event of an accident you must (a) ensure everyone's safety; (b) report to police and exchange particulars as required by law; (c) report to the Platform within 24 hours.

8. 個人資料 Personal Data

8.1的士租收會按《的士租收私隱政策》（構成本條款一部分）處理你嘅個人資料，包括執照資料、行程記錄及位置數據（用於派單、結算、安全及反欺詐）。Miutaxi processes your personal data (licence details, trip records, location data) per the Miutaxi Privacy Policy, which forms part of these Terms, for dispatch, settlement, safety and anti-fraud purposes.

8.2乘客嘅個人資料（電話、位置）只可用於完成行程，嚴禁用作任何其他用途或轉售。Passenger personal data (phone, location) may be used ONLY to complete Trips; any other use or resale is strictly prohibited.

9. 知識產權 Intellectual Property

9.1司機夥伴 App 及平台嘅知識產權由的士租收或其授權人擁有。你只獲許可為提供服務而使用 App。地圖數據及瓦片由 © OpenStreetMap 貢獻者提供（ODbL 授權）。The Driver Partner App and Platform IP belongs to Miutaxi or its licensors. You are granted a licence to use the App solely to provide services. Map data and tiles © OpenStreetMap contributors (ODbL).

10. 免責及責任限制 Disclaimers and Limitation of Liability

10.1 服務按「現狀」提供平台按「現狀」及「可用狀態」提供，的士租收唔保證行程廣播嘅數量、時間或地區。Service "As Is": The Platform is provided "as is" and "as available"; Miutaxi does not guarantee the volume, timing or location of trip broadcasts.

10.2 責任限制在法律允許嘅最大範圍內，的士租收唔會對任何間接、衍生損失（包括收入損失）負責；的士租收嘅累計責任以過去 12 個月向你收取嘅平台服務費總額為上限。行車風險及第三者責任由你及你嘅保險承擔。Limitation: To the maximum extent permitted by law, Miutaxi is not liable for indirect or consequential losses (including loss of earnings); aggregate liability is capped at the total Platform Service Fees charged to you in the preceding 12 months. Driving risks and third-party liability are borne by you and your insurers.

11. 條款變更 Amendments

11.1的士租收可不時修訂本條款，修訂版會喺 App 內公佈並更新版本號；重大變更（包括服務費率）提前 30 天通知。你喺修訂生效後繼續接單，即視為接受修訂。Miutaxi may amend these Terms from time to time; amendments are published in the App with an updated version number, with 30 days' notice for material changes (including fee rates). Continuing to accept trips after the effective date constitutes acceptance.

12. 終止 Termination

12.1你可以隨時刪除賬戶終止合作，毋須通知期。的士租收可喺下列情況暫停或終止你嘅賬戶：(a)你違反本條款或適用法律；(b)你嘅執照、車輛牌照或保險失效；(c)安全或欺詐問題；(d)持續投訴成立。因你違規而終止，的士租收有權保留未結算款項用於抵償損失。You may delete your Account and terminate at any time without notice. Miutaxi may suspend or terminate your Account if: (a) you breach these Terms or applicable law; (b) your licences or insurance lapse; (c) safety or fraud concerns; (d) persistent upheld complaints. Where termination results from your breach, Miutaxi may withhold unsettled amounts to offset losses.

13. 一般條文 General

13.1 管轄法律本條款受香港特別行政區法律管轄，雙方不可撤銷地接受香港法院嘅非專屬司法管轄權。Governing Law: These Terms are governed by Hong Kong SAR law; both parties submit to the non-exclusive jurisdiction of the Hong Kong courts.

13.2 可分割性如任何條文被裁定無效，其餘條文仍然有效。Severability: If any provision is held invalid, the remainder stays in force.

13.3 完整協議本條款連同私隱政策構成雙方就使用平台嘅完整協議，取代之前所有協議。Entire Agreement: These Terms with the Privacy Policy constitute the entire agreement regarding the Platform and supersede all prior agreements.
